The Sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage and break damage attributable to inadequate or improper protective measures taken by the Sellers, and in such case or cases any and all losses and / or expenses incurred in consequence thereof shall be borne by the Sellers. One full set of service and operation manuals concerned shall be enclosed in the case(s). (14) 单据：Documents,
1. 正本空运单(收货人联)，标明“运费已付”及唛头，买方为收货人及通知方。
Original Airway Bill (copy for Consignee) marked “freight prepaid” and shipping mark, consign to and notify the Buyer.
2. 涵盖100%合同金额的商业发票三正三副，注明合同号、唛头。
Commercial invoice covering 100% of contract amount in 3 originals and 3 copies, indicating contract number, shipping mark.3. 装箱单三正三副，注明毛、净重、尺码和所装货物的包装形式及数量。
Detailed Packing List in 3 originals and 3 copies indicating both gross and net weights, measurements and packing condition and quantity of each item packed.4. 卖方出具的质量及数量证书正本三份。
Certificate of quality and quantity issued by seller in 3 originals.
5. 卖方出具的原产地证书一正一副。
Certificate of origin in 1 original and 1 copy issued by Seller.
6. 货物装运后24小时内卖方发给买方装运通知传真复印件一份。
Copy of fax from seller to the buyer advising the particulars of shipment within 24 hours after shipment is made.
7. 保险单或保险证明一正一副，按照合同金额110%投保一切险及战争险。

8. 卖方声明外包装表面标有IPPC标识证书正本一份, 或卖方出具的非木质包装证明正本

(15) 装运通知：SHIPPING ADVICE：
The Sellers shall fax to the Buyer the Readiness Notification one week before the goods to be shipped.
卖方在发货前一周物向买方传真货物备妥通知。
The Sellers shall, immediately upon the completion of the loading of the goods in 24 hours, send the Buyers Air Waybill, Invoice and Packing list by fax.
装运通知：卖方应在货物装运完毕后24小时内用传真将空运单、发票和装箱单发给买方。
如卖方未按时向买方通知上述装运情况所导致损失由卖方承担。
Losses shall be borne by the Sellers in case the Sellers don’t inform the Buyers of the above shipping status on time.(16) 质量保证：GUARANTEE OF QUALITY:
卖方保证订货系用最上等的材料和头等工艺制成，全新的，未曾使用过的, 并完全符合本合同规定的质量、规格和性能。卖方并保证本合同订货在正确安装、正常使用和维修的情况下，自安装之日起十二个月或货物装运之日起十五个月内运转良好，以先到期者为准。由于人为造成的、易损易磨件除外。
The Sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. Faults due to mal-operation as well as wear and tear parts are excluded.(17) 迟交货及罚款：LATE DELIVERY AND PENALTY
除合同第16条人力不可抗拒事故外，如卖方不能按合同规定的时间交货，买方应同意卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每7天收0.5%，不足7天时以7天计算。但罚款不得超过迟交货物总价的5%。如卖方延期交货超过合同规定10周时，买方有权撤消合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。
买方有权对因此遭受的其它损失向卖方提出索赔。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with the exception of Force Major causes specified in Clause 16 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. The buyer shall have the right to lodge a claim against the seller for the losses sustained if any.
(18) 检验和索赔: INSPECTION AND CLAIMS:
如发现货物的品质、数量/重量与本合同不符, 买方有权在货物到达目的地后60天内根据中华人民共和国出入境检验检疫局出具的商检证书向卖方提出索赔。由承运人和保险公司负责的赔偿除外。
If the quality and/or quantity/weight be found not in conformity with the present contract, the Buyer shall be entitled to lodge claims with the Seller on the basis of the Certificate issued by China Exit and Entrance Inspection and Quarantine Bureau within 60 days after the goods arrival in the destination. With the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.
(19) 人力不可抗拒事故：FORCE MAJEURE：
由于人力不可抗拒事故，而卖方交货延迟或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出给的事故证明书用空邮寄交买方为证，并取得买方认可。在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期买方有权撤销本合同。
The Sellers shall not be held responsible for any delay in delivery or non-delivery of the goods duo to Force Majeure. However, the Sellers shall advise the Buyers immediately of such occurrence and
within fourteen days thereafter, shall send by airmail to the buyers for their acceptance a certificate
issued by the competent government authorities of the place where accident occurs as evidence
thereof. Under such circumstances the Sellers, however, are still under the obligation to take all
necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten
weeks, the Buyers shall have the right to cancel this Contract.
(20) 仲裁：ARBITRATION:
凡因执行本合同所发生的或与本合同有关的一切争议，应由双方通过友好协商予以解决，应提交中国国际经济贸易仲裁委员会根据中国国际经济贸易仲裁规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。
All disputes arising from the execution of or in connection with this contract, shall be settled amicably through friendly negotiation. In case no settlement can be reached through negotiation the case shall then be submitted to China International Economic and Trade Arbitration Commission in Shanghai arbitration in accordance with The Rules of Arbitration of China International Economic & Trade Commission. The award rendered by the said commission shall be final and binding upon both parties.
(21)通知 NOTICE
所有通知用中/英文写成，按照合同所列地址用传真/快递送达给各方。如果地址有变更，一方应在变更后3日内书面通知另一方。
All notice shall be written in Chinese or English and served to both parties by fax/courier according to the addresses shown in this contract. If any changes of the addresses occur, one party shall inform the other party of the change of address within 3 days after the change.
(22) 其他 MISCELLANEOUS
本合同一式二份，买方执一份，卖方执一份，由双方代表正式签字盖章生效。
The present contract is in three copies of the same form, the buyer holds two; the seller holds one. The contract is signed by the authorized representative of both parties and shall become effective upon the formal and mutual signing and stamping of the contract.

(13)不可抗力：由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不
能交货者，卖方可免除责任,在不可抗力发生后，卖方须立即电告买方及在14天内以
空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽
快发货。
Force Majeure :
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after . the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.
(14)仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提

第一条 总 则
1.甲方负责实施本工程，乙方公司负责为本工程提供劳务法。商

第二条 人 员
1.乙方公司应按本合同附件一“提供劳务明细表”和附件二中商定的工程、人数、技术条件、派遣日期和工作期限，为本工程派出其授权代表、各类技术人员、工人、管理和服务人员(以下简称“人员”)法。商
2.附件一和二为本合同的组成部分，其内容在本合同签字生效后一般不得变更法。商在特殊情况下雇主要求变更时，经乙方公司同意应按下述规定办理：
(1)人员离境之前如需变更时，甲方应将变更内容提前一个月书面通知乙方，如甲方变更计划未能及时通知乙方公司，而乙方公司已按计划集中人员和订购机票，甲方应负担因此造成的损失法。商

第三条 签证和其他证件
1.乙方应按中国政府的有关规定办理人员出入中国国境的一切必要手续，并承担其费用法。商
2.甲方应按项目所在国政府的有关规定办理人员出入项目所在国及居留、工作许可证、机动车驾驶执照等必要手续，并承担费用法。商
甲方为人员办理上述手续，应向乙方具体明确提出由乙方提供的全部必要的证件，如因甲方的要求不明确而引起证件不足致使人员不能入境或无法获得居留和工作许可证，则乙方不负责任法。商
3.如果甲方未能为人员获得在项目所在国的居留、工作许可证和机动车驾驶执照等，而使人员无法进行工作，应付给人员在此期间的合同工资法。商如人员因此被迫返国时，甲方应负担人员的回程旅费，并支付每人____个月合同工资的赔偿费法。商
乙方公司没有按甲方要求提供全部必要的证件，从而使甲方无法为人员办理在项目所在国的居留和工作许可证等使人员无法工作或被迫返回中国，人员工资、回程旅费等由乙方公司负担法。商
4.乙方公司应按本合同附件一和二将人员的姓名、出生地和日期、职称、护照号码、发照日期和单位、出发日期通知甲方或甲方在项目所在国的授权代表法。商甲方应在接到乙方公司的通知后即向项目所在国政府办理申请入境的必要手续，并通知乙方公司法。商同时甲方应通过项目所在国有关机构通知该国驻华使馆，以便办理入境签证法。商
第四条 乙方公司的义务
1.符合双方在附件一商定的技术条件;
2.遵守项目所在国的法律和法令，尊重当地风俗习惯;
3.尊重甲方人员的技术指导;
4.不参与项目所在国的任何政治活动;
5.遵守工地和驻地的纪律和规章制度;
6.与甲方为实施本工程而雇佣的其他国籍的人员合作共事法。商
第五条 甲方的义务
1.对人员给予正确的技术指导;
2.尊重人员的人格、风俗和习惯;
3.不干涉人员在非工作时间的活动自由;
4.保障人员的安全;
5.对人员的解雇和更换，应由双方的工地的授权代表商定法。商
第六条 工作时间
1.人员每周工作5天，每天工作白班8小时，夜班7小时，每天工作时间安排可由甲方与乙方公司授权代表在工地商定法。商
2.凡由于待料、停电、气候恶劣等非人员的责任而造成的停工，应计为工作时间，合同工资照付法。商
3.驻地至工地的单程所用时间，不应超过20分钟，超过的时间应计入工作时间法。商
4.人员自中国到达工地后和本合同期满自工地回中国前，应分别享有____ 日有薪休息法。商
第七条 合同工资
1.人员的月工资(包括伙食费)在本合同有效内按以下标准支付(美元)：

第八条 夜班及加班
1.根据工程的需要，甲方要求人员在夜间工作或加班，应商得乙方授权代表同意，每月加班工作小时原则上不得超过____ 小时法。商
2.夜间时间系指从当日晚上9时至次日晨5时法。商人员夜间工作(指正常夜班工作)甲方应按合同工资150%支付工资;人员夜间加班，甲方应按合同工资200%支付加班费法。商

第九条 工资和加班费支付
1.人员工资支付应自人员离开中国________之日起至回到中国________之日止法。商平均日工资为月合同工资的1/25法。商
2.乙方公司在工地的授权代表应按甲方提供的表格填写工作时间和加班时间，编制工资单，在每月工资结算日即________日后________天内即________日前提交甲方在工地的授权代表审核批准法。商《1》《2》《3》《4》《5》

第十一条 节假日、每周休息日和休假
1.按项目所在国政府的规定，每周的休息日为星期________法。商
2.人员应享受项目所在国政府颁布的法定节、假日和中国春节2天，国庆节1天的休假，共________天法。商
3.人员每工作期满1年，享受为期________天的回国休假法。商甲方承担休假人员从驻地至中国________间的往返旅费法。商人员工作不满一年，其实际休假天数按下列公式计算：
实际工作月数× (x/12)=休假天数
4.人员在项目所在国的节、假日和中国上述节假日以及休假期间，应享受全部合同工资法。商
5.因工作需要并应甲方要求，人员可不回国休假而留在工地继续工作法。商但需经双方代表协商同意法。商在此种情况下，人员休假工资及其从工地到________间的往返旅费甲方支付，同时支付人员在休假期间的实际工作天数的合同工资和加班费法。商
第十二条 预付工资
1.甲方在每批人员抵达岗位后，即应向乙方授权代表以当地货币支付每人相当于________美元的预付工资法。商
2.乙方对上述预付工资从人员抵达工地后第________个月还清，每月偿还____ 分之一法。商
第十三条 动员费
1.甲方应向人员每人支付________美元的动员费法。商

第十四条 保 险
1.乙方为人员自其离开中国________之日起至返抵中国________之日止在中国投保人身意外险，保险费由雇主承担法。商甲方应随同人员的月合同工资以美元一并向中国公司支付每人每月________美元保险费法。商
2.人员在中国投保人身意外险后，如经甲方要求，乙方可向甲方提供必要的证明文件，以避免甲方为人员在项目所在国重复投保法。商
第十五条 医疗和病假
1.甲方应为人员在整个合同期间因病或因工伤提供免费医疗、药品和住院治疗法。商所需中药乙方可代购，但药费、包装费和运费由甲方承担法。商
2.人员如因病或因工伤休假不超过1个月，甲方应支付全部月工资法。商如休假超过1个月但不足3个月，甲方支付____ %月合同工资法。商如休假超过3个月仍不痊愈送回中国继续治疗，甲方不再支付第4个月的工资，但应承担其回中国的旅费法。商如甲方要求乙方派人替换该伤病人员，则替换人员由____ 至工地的旅费亦由甲方承担法。商《1》《2》《3》《4》《5》

第十六条 交通、通讯工具和差旅费

2.甲方应免费向人员提供驻地至工地间(公里以外)的上、下班交通工具法。商
3.甲方应免费向乙方授权代表、工程师、驻地经理提供一辆小轿车和供人员采购仪器及生活用品的一辆小型货车法。商如人员人数每超过________人，应增加一辆法。商上述车辆所需的司机、燃料，应由甲方免费提供，并负责检修法。商此外，人员在节假日可以免费使用甲方的交通工具，用于正当的目的诸如游览、购物等法。商
4.乙方授权代表和人员可以免费使用甲方的通讯工具，如电话、电传、图文传真等法。商
5.人员如经甲方批准出差，其差旅费应由甲方负担，差旅费的支付标准和使用的货币按有关规定办理法。商
第十七条 生活和膳食设施
1.甲方应为人员免费提供适宜的住房，每人使用面积的标准为：工人为________至________平方米;翻译、会计、技术员为________至________平方米;授权代表、工程师、医生、驻地经理为____ 至____ 平方米;雇主还应免费提供水、电、卧具、空调、沐浴、卫生、洗衣设备和用品及必要的家具和备品(卧具和家具详见本合同附件3和4)法。商
2.甲方应向人员免费提供厨房、餐厅、炊具、餐具、制冰机、电冰箱和备品以及水、电、燃料法。商

第十九条 保密

第二十条 涉及第三方的事宜

第二十一条 不可抗力
由于不可抗力事件，如天灾、战争、内乱、封锁、暴动、传染病、政变等，使本工程无法继续进行，经双方协商本合同可以暂停法。商在这种情况下，甲方应负担人员的回国旅费法。商
第二十二条 仲 裁
