为了严格执行国家药监部门相关规定，严格规范冷链药品管理，确保冷链药品物流安全。经过对乙方运输资质的认定，其已通过新版gsp认证，具备冷链药品的运输配送能力，经甲乙双方友好协商，就甲方委托乙方配送冷链药品事宜，双方达成以下一致意见，签署本合同以资共同遵守：
一、乙方收货、验收入库
1、甲方将本公司erp客户端开放给乙方，允许乙方只对本公司冷库货位进行进销存的有关操作。甲方负责对乙方操作人员进行软件培训。
2、甲方向供应商采购冷链药品时，在本公司erp中做采购订单，同时要求供应商将所采购的冷链储存的药品，配送至乙方冷库。乙方按照新版gsp冷链药品进销存有关规定进行收货、验收入库，并在甲方提供的erp客户端上进行收货、验收、入库的操作。随货同行和温湿度记录(可导出电子文档)，二者缺其一，则拒收。
3、乙方在核对采购订单、随货同行、温湿度记录(可导出电子文档)或者收货、验收过程中，发现任何疑问，应和甲方采购负责人员进行联系，确定无疑问时方可继续进行操作。
2、乙方按照新版gsp要求保存好随货同行、同批质检报告和运输过程中冷藏车或冷藏箱温湿度记录(可导出电子文档)，备查。
3、乙方按照新版gsp冷链药品的储存要求对甲方所委托的药品进行储存，温湿度自动监测系统如出现温度超标的情况进行短信报警时，需要以短信的方式通知甲方负责人员。甲方负责人员在收到短信报警时，应立即和乙方仓库负责人员联系，乙方应确保甲方所储存的药品的质量安全。
二、甲方请货、乙方配送
1、甲方门店在erp系统中向总部仓库做请货单，总部仓库负责人员在收到请货单后，及时和乙方仓库负责人员进行联系，通知其对门店请货单内容进行配送开票和拣货。
2、乙方仓库负责人员接到甲方仓库负责人员的通知后，在两个工作日内将甲方门店的请货单内容进行配送开票、拣货、复核出库，并配送至甲方请货门店。按照新版gsp的相关管理规定，做好冷链药品的运输配送记录，并保证冷藏车和冷藏箱运输过程中对温湿度的要求，并有随车温湿度记录(可导出电子文档)。
3、乙方确保在配送途中冷链药品的质量安全，符合新版gsp的冷链运输配送的管理规定，应使用经过验证的冷藏设施的运输车辆，在整个运输途中温度应保持2-10摄氏度。
4、甲方门店收到乙方配送的货物后，在半小时至一小时之内，收货验收完毕，放入冰箱或冷柜，在乙方配送单据上签字确认并留存，同时要求乙方配送人员提供本次运输冷藏车或者冷藏箱的温湿度记录(可导出电子文档)，二者缺其一，则拒收。
5、甲方门店在本公司erp中进行收货、验收、入库。
6、门店请货一旦由乙方配送出库，将不允许配送退回，储存与质量安全由门店负责。
三、采购退出
1、甲方采购人员和供应商协调好，尽量要求供应商去乙方冷库取回，若需要乙方配合退回供应商时，乙方应负责按照新版gsp冷链药品的运输和储存有关规定，将药品运输退回至供应商仓库冷库，并提供相应的退回单据和温湿度记录(可导出电子文档)。
2、甲方采购人员在erp中做采购退出开票，并通知乙方仓库人员，由乙方仓库负责人员按单据拣货复核。乙方拣货实货复核完毕后，乙方仓库负责人员通知甲方采购人员复核确认后，方可出库退回供应商。
四、盘点
1、乙方对甲方委托配送的药品数量和质量负责，定期对库存进行盘点。
2、甲方每月最后一个周六去乙方仓库进行盘点，乙方仓库负责人员协同，并对盘点差异负责核对，保证进销存一致。
五、电子监管码管理

七、责任
1、乙方负责甲方委托配送药品的安全、数量与质量保证，对存在的安全隐患及时排查，解除。

篇5：买卖合同纠纷案例分析(二)范本
原告诉称:原告与被告于2000年6月发生业务往来，由原告向被告供应支架等五金制品，被告则以月结形式向原告支付货款。2001年3月10日及14日，双方订立了两份采购合同，约定被告向原告订购支架两批，单价2角，总金额人民币80000元，支付方式为货到60天内月结。合同签订后，原告依时将支架送到被告处，但被告却未支付任何款项。后虽原告追讨，被告仍拒不付款。遂原告向法院起诉，请求判令：
1、被告向原告支付货款人民币80000元及其利息（从2001年6月1日暂计至2002年4月15日）人民币4005元；
2、被告承担本案诉讼费用。
被告辩称，被告已向原告的代理人付清本案货款，应驳回其诉讼请求。原告和振和贸易公司（以下称振和公司）就有关货款事宜于2002年1月9日致函被告声明：有关欠款全权由正东商业顾问有限公司（以下称正东公司）处理。并在其出具给正东公司的授权书中明确写明：由2001年12月28日起正式授权正东公司全权代本公司追讨如下：追收深圳奥德尔电子有限公司货款总数人民币104276元，增值税号码NO：00144606，发票号码N0：01103113、N0：01103115，以上事实表明，本案中正东公司因原告的授权书而在法律上成为原告的委托代理人，即正东公司具有收取有关货款的代理权限，其向被告收取的货款行为应由被代理人即原告和振和公司承担民事责任。由于被告对本案货物已向原告代理人付清，因此原告向被告要求再次支付货款纯属无理，依法应驳回原告的诉讼请求。

2002年1月9日，原告向被告发传真函，写有，现我们再次声明有关欠款全权由正东商业顾问公司处理。
被告出具了三份品质问题改善报告，主张原告供应的货物存在质量问题，已向原告提出过相应的质量异议。
以上，有采购合同、增值税专用发票、发票、发货通知单、对帐单、原告给被告的传真函、收据、授权书、品质问题改善报告庭审笔录为证。
本院认为，原告与被告签订的采购合同，是双方真实意志的表示，合法有效。
原告委托正东公司向被告追收货款，正东公司代表原告向被告追收货款时，已向被告出具
了原告的相应授权书，被告已将所欠原告的相应货款支付给正东公司，原告认为授权书并没有明确授权货款由正东公司收取，而被告将货款交付给正东公司，正东公司并没有把货款交付给原告，因此，被告仍然应向原告支付所欠货款。但是，原告在其开具给正东公司的授权书中明确表示正东公司全权代表原告向被告讨货款，该授权书并没有表示所追讨的货款必须交给原告，原告向被告发出的传真函中也写有：现我们再次声明有关欠款全权由正东商业顾问公司处理。以上授权书及传真函均中原告没有明确限定货款必须交付给原告而不应交付给正东公司，正东公司依原告的授权书及传真函的授权收取被告所欠原告的货款，并没有超出原告的授权范围，至于正东公司是否将所收取被告的货款交付给原告，应由原告另循其它途径与正东公司解决，原告并不能由此再向被告主张权利。但被告应向原告支付逾期付款期间的利息。至于被告主张的货物品质问题，因被告已向原告支付了全额货款，因此，被告主张的货物品质问题证据不充分，本院不予采纳。
根据《中华人民共和国合同法》第六条、第八条、第一百零七条，《中华人民共和国民法通则》第六十三条，《中华人民共和国民事诉讼法》第六十四条的规定，判决如下：
一、本判决生效之日起10日内，被告向原告支付利息损失（以货款本金人民币8万元计，按照中国人民银行规定的同期一年期流动资金贷款利率，从2001年6月1日起计至2002年1月15日止）。
二、驳回原告的其它诉讼请求。
本案受理费人民币3030元，由被告承担130元，由原告承担2900元，该款原告已预交，被告应于本判决生效之日起十日内将其承担以上费用迳付原告。
