一：目的

为了使工作内容清晰明朗化，工作效率高效标准化，特制订此工作流程。二：作用

规范计划员工作内容，确保计划员在工作过程中不缺项漏项，保证生产环节顺畅运行。

三：内容

1. 根据已批准的周计划生产单，下达次日的生产计划执行单，并特别要求生

产计划的轻重缓急，将责任划分到生产主管，并且共同预算完成期，将不能按期完成的产品作好记录，并及时跟销售部沟通。

2. 根据预算结果和实际生产情况的进度，随时与销售部沟通，保证产销链条

正常运行。

3. 生产进度跟踪

3.1 跟踪半成品及时生产到位，保证库存不缺货，生产不受阻碍。

3.2 跟踪产成品及时生产到位，保证产销链条正常运行。

3.3 跟踪当日急需产品的生产进度，保证产品合格入库后通知销售部，以

方便销售部做下一步工作。

3.4 核对当日半成品，产成品的生产情况：

3.4.1 确保当日生产合格的产品全部要求入库。

3.4.2 正在进行的产品继续跟踪，直到生产合格。

3.4.3 对生产批量不合格的产品，要求生产车间注明不合格原因，质检

部注明不合格项和待处理意见，由生产车间按不合格品处理意见

进行返修、返工处理。

3.5 和仓储部根据当日生产计划单预算所需原材料，半成品，包装物的量，

并跟踪仓储部确定采购计划与采购进度。

3.6 确定生产计划执行表：

3.6.1根据当日的生产计划单和尚未投产的生产计划单，将同一产品统

一生产，以减少重复生产，从而达到省工降耗，批量生产的目的。

3.6.2 根据连续几月的销售量，确定销售部下的备库存量是否合理可

行，并提出书面更改备库量意见。

3.6.3 根据原材料，半成品的库存情况;仓储空间情况，生产能力情况，

确定合理的生产计划执行单。

3.6.4 对因原材料不足而滞后生产的产品，及时与销售部沟通，以便销

售部做好与客户的提前沟通。

3.7 随时更新订单流程表，以确保公司产销的顺畅运行。

3.8 核对BOM表是否与生产计划执行单相否，对不否的进行二次确认后

再进入投产工序。

3.9 及时完成上级交代的临时工作。

四：注意事项：

1：对所生产产品要尽可能满足生产计划单的需求。

2：库存产品必须要低于产品最高库存量。

3：生产计划执行单必须要与生产部最高负荷量相符。

4：跨部门沟通必须要及时，对沟通无结果事项需及时上报寻求上级支援。

生产的类型可分哪几种

生产的类型有两种

1.需求计划型(BTN型)：是销售部门根据产品、市场状况以往销售业绩、增长速度、销售方法等做销售预测，根据此预测来设定最低的成品存量，而有计划进行生产的一种类型。

2.订单生产型(BTO型)：是不进行销售预测，接到客户的订单后即安排生产的一种类型。

需求计划型与订单生产型的优缺点有哪些? 1.需求计划型的优点有：

◆备有一定存货，可防备旺季时的产能不足。

◆准备较为充分，因此在人力、机器、物料上有良好的计划。 ◆因能提早准备，交货能及时。

◆能凋节淡旺季的人力需求，人员较为稳定，产品品质有保障。

2.需求计划型的缺点有：一旦销售预测不是很准确，容易造成成品浪费。 3.订单生产型的优点有：根据订单安排，人力、机器、物料上不会造成大的浪费。

4.订单生产型的缺点有：

◆人力、机器、材料准备不充分，容易延误交期。 ◆容易造成旺季时的产能不足。

甲方：XXXXXX公司

乙方：XXX农业经济技术服务中心

为进一步提高地方特色产业，促进农业产业化结构调整，壮大地方特色品种，服务三农、助农增收，经甲、乙双方本着平等、自愿的原则，协商达成2009年度芽菜产业化订单合同。

一、订单品种：地方芽菜青菜初加工“芽菜”原料。

二、订单面积：5000亩。

三、订单数量：400万公斤。

四、收购质量标准：符合企业要求，无腐烂、无污染。

五、收购价格：甲方保证按照优质优价的原则，优于市场价格进行收购。因市场变化导致价格下跌时，为保证农民利益，甲方承诺按合同规定的数量以不低于“榨菜”0.7元/公斤、“晒菜、晾菜”1.00元/公斤的最低收购价进行收购。

八、双方义务：

甲乙双方经过协商，就甲方订购乙方产品事宜达成如下协议，以兹共同信守：

The Agreement is made through negotiation between the Parties concerning Party A’s ordering Party B’s _________ products.

一、订购产品范畴：

I. Scope of Ordered Products:

二、订单交期： II. Delivery Period:

1、甲方向乙方提交订单，明确订单产品的名称、规格、型号、颜色、工艺、数量和交货时间等，乙方如有异议，应在接订单后1-2个工作日内提出，否则作确认订单处理;

1. Party A shall place orders to Party B, specifying the names, specifications, types, colors, process, quantity and date of delivery of the ordered products. Party B shall make objections, if any, within 1-2 business days after receiving of the orders; otherwise, such orders shall be deemed confirmed;

2、乙方应按确认的订单生产并按甲方的要求提供产品，在特殊情况下甲方可视具体情况对订单在生产中进行相应的调整。

2. Party B shall organize the production according to the confirmed orders and supply products at Party A’s requirements. Party A may adjust relevant orders in process in terms of specific circumstances.

三、订购产品质量要求 III. Quality Requirements

1、乙方严格按甲、乙双方确认的样品进行生产，产品质量必须符合客户的确认要求;

1. Party B shall organize the production strictly subject to the samples confirmed by the Parties. The products supplied must conform to the quality requirements confirmed by the client;

2、乙方生产的产品如在交付后，因产品不符合甲方订单的要求，乙方应承担甲方损失的赔偿责任; 2. Party B shall be responsible for losses to Party A as a result that the products delivered cannot meet Party A’s orders;

3、乙方交付的产品如在交付后，因化学品超标等品质问题而导致甲方利益受损时，经双方鉴定属乙方责任的，乙方应承担甲方损失的赔偿责任。

3. In case of losses of Party A’s interests arising from quality problems, such as excess of standards for the chemicals contained in the delivered products, which is confirmed due to reason attributable to Party B, Party B shall make compensation to Party A. (1)订单产品的投诉赔偿问题，甲方可以先行赔付第三方，第三方签收确认，由乙方承担赔偿;

(1) In case of complaints and claims about the ordered products, Party A may make compensation to relevant third persons, who shall make confirmation with signature, thereafter, Party B shall make compensation to Party A.

四、订单生产约定及货款支付方式 IV. Production and Payment Terms

1、如非甲方准许乙方不得将订单转发第三方加工;

1. Party B may not transfer any order to any third person, except with Party A’s permission;

2、甲方应按双方约定的方式和时间在确认对帐单后支付订单货款;

2. Party A shall make payment for the orders according to the payment methods and schedule after confirming the statements;

3、订单货款支付方式： 3. Payment terms: 乙方每月按约定时间提交对帐单，甲方视情况分别以30天、60天、90天形式支付货款; Party B shall submit a statement on schedule every month. Party A shall make payment respectively on the 30-day, 60-day and 90-day basis.

五、产品交付与验收及外包装

V. Delivery, Acceptance and Packing

1、交付地点及运输：乙方需将交付的产品送到甲方指定地点，物流运输费、包装费、卸货费等均由乙方承担;

1. Place of delivery and transportation: Party B shall cause the products to be delivered to the place designated by Party A, and freights, packing costs and handling costs incurred therefrom shall be for the account of Party B;

2、交付时间：以甲乙双方确认的订单交付时间为准; 2. Date of delivery: subject to the confirmed orders;

3、产品检验：乙方出货前必须100%检品。甲方收货后抽检，如发现品质问题，乙方必须马上免费重新生产或者补充生产订单，并在甲方规定的时间完成交货，如有任何损失乙方必须全额赔偿;

3. Inspection: Party B shall inspect each and all products before delivery. Party A shall make spot inspection upon receipt. In case of quality problems, Party B must immediately organize re-production or add orders and make delivery within the period designated by Party A. In case of losses, Party B must make compensation in full amount;

4、外包装用双方确认的方式。

4. Packing shall be subject to the confirmed methods.

六、协议的终止 VI. Termination

1、本协议在双方终止合作后自然终止;

1. The Agreement shall be terminated automatically once the cooperation between the Parties is closed;

2、本协议因合法解除而终止;

2. The Agreement shall be terminated due to legal rescission;

3、本协议因甲乙任何一方破产、注销或被吊销营业执照而终止;

3. The Agreement shall be terminated if either party hereto becomes insolvent, is revoked or causes its business license canceled;

4、本协议因不可抗力导致合同不能继续履行而终止。

4. The Agreement shall be terminated if it cannot be continually performed as a result of force majeure.

七、不可抗力

VII. Force Majeure 不可抗力事件发生时，双方应立即通过友好协商决定如何执行本协议。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本协议项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。

In case of any force majeure, the Parties shall decide how to perform the Agreement immediately through friendly negotiation. Upon termination of the event or elimination of its effect, the Parties shall immediately perform their respective obligations hereunder. Where the event and its effects cannot be terminated or eliminated, which further results that either party loses the capability of continual performance of the Agreement, the Parties may negotiate about rescission of the Contract or extension of the term hereof, and the affected party need assume no liability therefor; however, the affected party may not be exempted from the default liability if the event occurs after its late performance.

八、特别约定

VIII. Special Provisions

甲乙双方合作必须建立在双方保密原则上，任何一方不可对外泄露对方的合作品牌、价格等合作信息。

The cooperation between the Parties shall be on the confidential basis. Neither party may disclose the other party’s information about cooperation brand and price.

九、违约责任

IX. Default Liability

1、乙方逾期向甲方交付产品的，每逾期一天，应按该产品价格总额的日千分之 5 向甲方支付违约金，逾期超过 7日的，甲方有权解除本协议。乙方须赔偿交期延误的全部损失; 1. Where Party B makes late delivery to Party A, it shall pay Party A the penalty at a daily rate of 0.5% of total price for the products concerned; in case of late delivery more than 7 days, Party A shall have the right to rescind the Agreement, in which case Party B shall compensate for all losses to Party A arising from late delivery;

2、乙方所交付的产品经双方共同确认有质量问题的，在甲方的认可下乙方应按照质量问题的严重程度合理选择修理、更换或承担赔偿所有经济损失的责任。

2. If it is confirmed that the products delivered by Party B contain certain quality flaws, with Party A’s consent Party B shall make reasonable choices according to specific quality problems, such as repair, replacement or compensation for all economic losses arising therefrom.

十、协议期限 X. Term

一、争议的解决 XI. Dispute Settlement

本协议履行过程中发生的争议，由双方当事人协商解决;协商或调解不成的，由协议签订地法院裁决。

Disputes arising from performance of the Agreement shall be settled through negotiation between the Parties; where negotiation or intermediation fails, the dispute concerned shall be submitted to the court at the place where the Agreement is executed. 十

二、其他条款 XII. Miscellaneous

1、本协议未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同，订单及本协议的附件和补充合同均为本协议不可分割的组成部分，与本协议具有同等的法律效力;

1. Any matter uncovered herein shall be settled in accordance with pertinent laws and regulations or, in case of non-stipulation in pertinent laws and regulations, specified in a written supplementary contract. Orders, annexes hereto and supplementary contracts shall be integral part of the Agreement and have equal legal effect as the Agreement;

2、本协议自双方法定代表人或其授权代表人签字并加盖公章之日起生效。本协议一式份，双方各执份，具有同等法律效力。

2. The Agreement shall take effect with signatures and common seals of the Parties’ respective legal representatives or authorized representatives. The Agreement shall be in ___ counterparts with equal legal effect, ___ for either party.
