北京市存量房交易结算资金划转合作协议

(示范文本)

甲方:(系保证机构)

乙方:(系“存量房交易结算资金专用存款账户”开设银行)

为保证存量房交易当事人的合法权益,保障存量房交易结算资金的安

全,根据有关法律、法规,在遵循公平信用原则的基础上,经甲、乙双方协商一致,就存量房交易结算资金划转相关合作事宜达成如下协议:

第一条 本协议所示的交易结算资金划转对象为存量房买卖的房价款或

首付房价款,除交易当事人在《划转协议》内约定由卖房人直接收取购房定金(不超过房价款的20%)的,全部房价款或首付房价款均应视为划转对象。

第二条 乙方为甲方开设“存量房交易结算资金专用存款账户”(以下

简称“专用存款账户”),该“专用存款账户”专门用于划转存量房交易过程中所涉及的交易结算资金,并不得支取现金。“专用存款账户”应与甲方自有的结算账户分开,账户内的资金独立于甲方的固有财产及其管理的其他财产,也不属于甲方的负债,资金的所有权属于交易当事人,甲方无权挪用该账户内的资金,不得要求乙方出具资信证明。

第三条 乙方按照国家有关规定,对甲方开立的专用存款账户计息。专

用存款账户产生的利息由甲方根据与买房人签订的协议进行分配。

第四条 乙方详细记录专用存款账户资金划转情况,并根据甲方需要向

甲方提供。

第五条 房屋转移登记办理完毕后,乙方依据甲方开具《存量房交易结

算资金支取凭证》、转账凭证并附房屋权属登记部门开具的办结单及其他乙

方认为必要的相关资料,办理交易结算资金的划转手续。

第六条 交易房屋已设定抵押时,在卖方无法自行办理抵押注销手续且

买卖双方、甲方在《划转协议》中约定授权甲方可将“专用存款账户”下的部分或全部交易结算资金用于办理抵押注销手续的情况下,甲方可持《划

转协议》、《存量房交易结算资金支取凭证》、转账凭证及其他乙方认为必要的相关资料到乙方支取交易结算资金。乙方应将甲方所支取的交易结算资

金直接划转到原贷款银行。

第七条 在办理房屋转移登记的过程中,经房屋权属登记部门审核,因

不符合产权登记条件而导致不能办理房屋转移登记的,甲方应与买卖双方

协商一致后,共同出具书面说明及相关资料并由甲方出具《存量房交易结

算资金支取凭证》、转账凭证。乙方核实后向买方划付返还交易结算资金。

第八条 买卖双方因故终止存量房交易或由买卖双方所签《存量房屋买

卖合同》引起的纠纷造成交易终止的,甲方应与买卖双方协商一致后,共

同出具书面说明及相关资料,并由甲方出具《存量房交易结算资金支取凭

证》、转账凭证。乙方核实后向买方划付返还交易结算资金。

第九条 卖方不遵守《买卖合同》、《划转协议》的有关约定导致存量房

交易终止的,应由甲方与买方共同协商出具书面说明及相关资料,并由甲

方出具《存量房交易结算资金支取凭证》、转账凭证。乙方核实后向买方划

付返还交易结算资金。

第十条 买方不遵守《买卖合同》、《划转协议》的有关约定导致存量房

交易终止的,应由甲方与卖方共同协商出具书面说明及相关资料,并由甲

方出具《存量房交易结算资金支取凭证》、转账凭证。乙方核实后向买方划

付返还交易结算资金。

根据《买卖合同》约定定金归卖方所有的,由甲方出具《存量房交易

结算资金支取凭证》、转账凭证及乙方认为必要的其他资料,乙方将买方已

存入“专用存款账户”中的定金划付给卖方。

第十一条 本协议约定的交易结算资金管理期间,若司法机关、行政机

关等有关部门对“专用账户”进行冻结或扣押,甲、乙双方均有义务出示

证据以证明交易结算资金及其银行账户的性质。

第十二条 服务费用:。

第十三条 本协议未尽事宜由甲、乙双方另行协商解决。

第十四条 本协议在履行中如发生争议,双方应协商解决。协商不成时,双方同意按下列第种方式处理:

(一)任何一方均可向人民法院提起诉讼;

(二)提交北京仲裁委员会仲裁。

第十五条 本协议一式份,甲、乙双方各执份,交北京

房地产中介行业协会备案一份。

为确保存量房买卖双方当事人交易结算资金安全,维护交易双方合法权益,特制定存量房交易结算资金划转操作规范如下:

一、存量房交易结算资金划转协议的签订

存量房买卖双方当事人经协商一致后,签订《北京市存量房买卖合同》(以下简称“买卖合同”),并与设立“专用账户”的房地产经纪机构或交易保证机构(以下简称“保证机构”)签订《北京市存量房交易结算资金划转协议》(以下简称“划转协议”,见附件1至附件4)。买卖双方当事人自行办理转移登记手续并签署《存量房交易结算资金自行划转声明》的,可自行划转交易结算资金。

二、交易结算资金的入账及房屋交易过户手续的办理

根据存量房的抵押状况及付款方式,分别按以下四种程序办理:

(一)房屋未设定抵押,买房人一次性全额付款

《买卖合同》及《划转协议》签订后,买房人将交易结算资金一次性或分期存入保证机构的“专用账户”内(除买卖双方在《划转协议》内约定由卖房人直接收取购房定金(不超过房价款的20%)的,全部房价款均应通过“专用账户”进行划转)。银行以买方名义建立子账户,并向买房人开具《存量房交易结算资金专用存款账户交存凭证》(以下简称“《交存凭证》”)。买房人持《买卖合同》、《划转协议》及《交存凭证》向保证机构领取《存量房交易结算资金托管凭证》。卖房人已直接收取定金的,还应提供收款凭证。

买卖双方持《存量房交易结算资金托管凭证》及其他相关材料可自行办理或委托保证机构等其他主体办理房屋转移登记手续(具体流程见附图一)。

(二)房屋未设定抵押,买房人抵押贷款

《买卖合同》及《划转协议》签订后,买房人或保证机构持相关材料向贷款银行办理抵押贷款业务。贷款银行对买房人资信状况等审核合格后,对待交易房屋进行评估,确定贷款额度,并出具《批贷证明》。买房人将购房首付资金一次性或分期存入保证机构的“专用账户”内(除买卖双方在《划转协议》内约定由卖房人直接收取购房定金的,全部首付房价款均应通过“专用账户”进行划转)。银行以买方名义建立子账户,并向买房人开具《交存凭证》。买房人持《买卖合同》、《划转协议》、《交存凭证》及《批贷证明》向保证机构领取《存量房交易结算资金托管凭证》。卖房人已直接收取定金的,还应提供收款凭证。

由于抵押贷款业务需要办理抵押登记手续,根据《划转协议》约定,买房人可将转移登记及抵押登记手续委托保证机构办理。保证机构持相关材料代理买房人向房屋权属登记部门申办转移登记及抵押登记手续,卖房人可自行办理或委托保证机构等其他主体办理房屋转移登记手续(具体流程见附图二)。

(三)房屋已设定抵押,买房人一次性全额付款

《买卖合同》及《划转协议》签订后,买房人将交易结算资金一次性或分期存入保证机构的“专用账户”内(除买卖双方在《划转协议》内约定由卖房人直接收取购房定金的,全部房价款均应通过“专用账户”进行划转)。银行以买方名义建立子账户,并向买房人开具《交存凭证》。买房人持《买卖合同》、《划转协议》及《交存凭证》向保证机构领取《存量房交易结算资金托管凭证》。卖房人已直接收取定金的,还应提供收款凭证。

已设定抵押的房屋进行交易应先行办理抵押注销手续。卖房人无法自行办理抵押注销手续的,买卖双方及保证机构可在《划转协议》中选择不同的抵押注销途径:(1)三方均同意授权保证机构可将“专用账户”下的部分或全部交易结算资金用于办理抵押注销手续;(2)若买房人不同意将其交存的交易结算资金用于办理抵押注销手续,卖房人应寻求担保或其他途径办理。

三方约定按上述第一种方式办理抵押注销手续的,在抵押注销手续办理完毕后,保证机构可代理卖房人持相关材料向房屋权属登记部门申办转移登记手续,买房人可自行办理或委托保证机构等其他主体办理房屋转移登记手续;三方约定按上述第二种方式办理抵押注销手续的,在抵押注销手续办理完毕后,买卖双方持相关材料可自行办理或委托保证机构等其他主体办理房屋转移登记手续(具体流程见附图三)。

若买房人不同意将其交纳的交易结算资金用于抵押注销手续,且卖房人寻求其他途径也无法解除抵押,买卖双方应解除《买卖合同》,保证机构应将买房人已付交易结算资金退还。

(四)房屋已设定抵押,买房人抵押贷款

卖房人无法自行办理抵押注销手续的,应寻求担保或其他途径来办理抵押注销手续。若卖房人无法通过担保或其他途径解除抵押,买卖双方应解除《买卖合同》。

买房人或保证机构可持相关材料向贷款银行办理抵押贷款业务,贷款银行出具《批贷证明》。买房人将购房首付资金一次性或分期存入保证机构的“专用账户”内(除买卖双方在《划转协议》内约定由卖房人直接收取购房定金的,全部首付房价款均应通过“专用账户”进行划转)。银行以买方名义建立子账户,并向买房人开具《交存凭证》。买房人持《买卖合同》、《划转协议》、《交存凭证》及《批贷证明》向保证机构领取《存量房交易结算资金托管凭证》。卖房人已直接收取定金的,还应提供收款凭证。

抵押注销手续办理完毕且保证机构出具《存量房交易结算资金托管凭证》后,保证机构持相关材料代理买房人向房屋权属登记部门申办转移登记及抵押登记手续,卖房人可自行办理或委托担保公司、保证机构等其他主体办理房屋转移登记手续(具体流程见附图四)。

三、交易结算资金的划转

转移登记手续办理完毕,房屋权属登记部门向买房人发放房屋所有权证的同时,向卖房人出具转移登记办结单。卖房人按照《存量房交易结算资金划转协议》约定持办结单到保证机构办理资金划转手续。

保证机构向卖房人及银行出具《存量房交易结算资金支取凭证》(见附件5),并通知银行将“专用账户”相应子账户中的交易结算资金划转给卖房人。

在房屋已设定抵押情况下,若卖房人无法自行办理抵押注销手续且买卖双方均同意授权保证机构可将“专用账户”相应子账户中的部分或全部交易结算资金用于办理抵押注销手续,保证机构可持《划转协议》向银行办理交易结算资金支取手续。银行应将该部分资金直接划付原贷款银行。

四、解除《划转协议》
